We hereby inform you that the Board of Directors of the Company, as recommended by the Nomination and Remuneration Committee, has appointed Mr. Manoj Lalchand Lodha (DIN: 07349179) as an Additional Director (Non-Executive Independent Director) of the Company w.e.f. July 31, 2020. He holds office till the end of ensuing Annual General Meeting where his appointment will be placed for approval of members of the Company.
Further, we would like to state that as per the requirement of the Circular No. LIST/COMP/14/2018-19 dated June 20, 2018 w.r.t. Enforcement of SEBI Orders regarding Appointment of Directors by Listed Companies, it is affirmed that Mr. Manoj Lalchand Lodha is not debarred from holding the office of Director pursuant to any SEBI order or any other such authority.
Details required pursuant to Regulation 30 & Para A of Part A of Schedule III of the SEBI LODR read with SEBI Circular No. ClR/CFD/CMD/4/2015 dated September 9, 2015 is enclosed.
