     This is in furtherance to our intimation dated February 01, 2023, regarding Postal Ballot Notice dated January 25, 2023, seeking approval of the shareholders for the special resolution pertaining to adoption of Tata Elxsi Limited - Performance Stock Option Plan- 2023' ('Plan' or 'PSOP- 2023'), through remote e-voting process. The remote e-voting commenced on Friday, February 03, 2023, at 9.00 a.m. (IST) and concluded on Saturday, March 04, 2023, at 5.00 p.m. (IST). In this regard, pursuant to Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, we herewith enclose the results of remote e-voting and the Scrutiniser's report for the Postal Ballot exercise. We wish to inform you that the special resolution set out in the Postal Ballot Notice dated January 25, 2023, has been passed by the shareholders with requisite majority.
