This is with reference to our earlier disclosure dated April 28, 2022 in connection with the Scheme of Arrangement between Poonam Roofing Products Private Limited and Sahyadri Industries Limited and their respective shareholders under the provisions of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Rules framed thereunder. The Hon'ble National Company Law Tribunal, Mumbai Bench ('Hon'ble NCLT'),had approved the Scheme of Arrangement dated April 28 2022. The copy of the Order as available on the website of the Hon'ble NCLT is enclosed herewith. This disclosure is being made in terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
