This is in furtherance to our intimation dated January 9, 2020, where we informed you that the board of directors ('Board') of the Company approved the proposal to buyback equity shares of the Company from all existing shareholders of the Company as on the record date i.e., January 24, 2020 on a proportionate basis under the tender offer route in accordance with the provisions of the Companies Act, 2013 and the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018 ('Buyback Regulations').
In this regard, please find attached herewith a certified copy of the extracts of the resolutions passed by the Board of the Company on January 09, 2020 in connection with the buyback.
The manager/merchant banker to the buyback, Kotak Mahindra Capital Company Limited has separately filed a certified copy of the extracts of these resolutions with the Securities and Exchange Board of India, in accordance with the provisions of the Buyback Regulations.
