     Pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you as follows.
    The Board of Directors of the Company met on August 5, 2020 to consider, inter alia, recommendation of dividend for the fiscal year 2019-20 and to recommend a dividend policy for the Company.
    The Directors considered the audited results of the Company with particular reference to the computation of the "Net
    Profit of the Company before Exceptional item and after Tax"for the fiscal year ended March 31, 2020, details of which are attached herewith for your reference.
