     Pursuant to Reg. 30 of the SEBI (LODR) Reg, 2015, we wish to inform you that our Company GENPHARMASEC LIMITED is acquiring 70% stake in M/s. Derren Healthcare Pvt. Ltd. in a staged manner over a period of 1 year. The Company has entered into the following agreements: 1. The Share Purchase Agreements (SPA) to acquire the stake of the Investee Company as on date from the existing shareholder . 2. The Share Subscription cum Shareholders'' Agreement, envisages subscription of the Company stake over a period of 1 year. The Company shall own 70% stake of the Investee Company.
